1. Business Information

These Terms of Service ("Terms") are provided by Lead Continuity LLC, a limited liability company registered in the State of Wyoming, doing business as (DBA) Plenum AI Systems. All references in these Terms to "Lead Continuity LLC," "Plenum AI Systems," "we," "us," or "our" refer to Lead Continuity LLC, the legal entity operating under the Plenum AI Systems brand. Lead Continuity LLC is responsible for all services, communications (including SMS/text messages), billing, and obligations described herein.

2. Acceptance of Terms

By accessing or using the Plenum AI Systems website ("Site") and our services ("Services"), you agree to be bound by these Terms of Service. If you do not agree to these Terms, you must not access or use the Site or Services. These Terms constitute a legally binding agreement between you and Lead Continuity LLC.

3. Description of Services

Plenum AI Systems provides AI-powered growth infrastructure for home service businesses, including but not limited to:

  • Database Reactivation — AI-driven SMS campaigns to re-engage old leads and past customers.
  • Reviews & Referrals — Automated review request and referral generation systems.
  • Lead Nurturing — Instant follow-up with new web leads via SMS and email.
  • Missed Call Text-Back — AI-powered response to missed calls within 60 seconds.
  • Paid Ads Integration — Connecting Facebook/Google lead forms to AI follow-up.

All services are provided on a best-effort basis and in accordance with the agreed scope.

4. Eligibility

You must be at least 18 years of age to use our Services. By agreeing to these Terms, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement.

5. Client Responsibilities

  • Accurate Information: You agree to provide accurate, current, and complete information during the engagement process.
  • Infrastructure Access: For deployment of our AI systems, you must provide access to a Virtual Private Server (VPS) meeting our minimum technical requirements.
  • Compliance: You are responsible for ensuring your use of our Services complies with all applicable local, state, federal, and international laws and regulations, including but not limited to the Telephone Consumer Protection Act (TCPA), CTIA guidelines, and applicable A2P 10DLC messaging regulations.
  • Consent: You are solely responsible for obtaining all necessary consents from your customers and contacts before using our Services to communicate with them, including SMS, email, and voice communications. You must honor opt-out requests immediately.

6. Payments & Billing

  • Setup fees are due prior to the commencement of any work.
  • Monthly retainer fees are billed in advance on the first day of each billing cycle.
  • All fees are non-refundable unless otherwise stated in a separate written agreement.
  • Late payments may result in suspension of Services after a 10-day grace period.

7. No Guaranteed Results

While we use proven strategies and AI technologies, Lead Continuity LLC DBA Plenum AI Systems does not guarantee specific results, including but not limited to leads, sales, revenue, or rankings. Marketing performance depends on multiple external factors beyond our control.

8. Intellectual Property

All content, systems, code, methodologies, and materials created by Lead Continuity LLC in the course of providing Services remain the intellectual property of Lead Continuity LLC unless explicitly transferred in writing. You are granted a non-exclusive, non-transferable license to use the deployed systems for your internal business purposes during the term of your engagement.

9. Data Ownership

You retain full ownership of all your business data, customer data, and lead databases at all times. Lead Continuity LLC acts as a data processor — we access your data only as necessary to provide the Services. Upon termination of Services, we will provide a full data export within 5 business days and delete your data from our servers within 30 days of written confirmation of receipt.

10. Limitation of Liability

To the maximum extent permitted by law, Lead Continuity LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Services. Our total aggregate liability shall not exceed the total fees paid by you in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Lead Continuity LLC from any claims, damages, or losses arising from your use of the Services in violation of applicable laws, including TCPA, CTIA guidelines, or A2P 10DLC regulations.

12. Termination

Either party may terminate the engagement with 30 days' written notice. Upon termination, all access to the deployed systems will be suspended, and data export will be provided per Section 9. Outstanding fees for Services rendered up to the termination date remain due and payable.

13. Prohibited Uses

You agree not to use our Services for any of the following purposes:

  • Sending unsolicited spam messages or communications to individuals who have not opted in.
  • Engaging in any form of harassment, fraud, or deceptive marketing practices.
  • Violating the TCPA, CAN-SPAM Act, GDPR, CTIA guidelines, or any other applicable communications regulation.
  • Reselling or redistributing our Services without prior written consent.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

15. Changes to Terms

Lead Continuity LLC may update these Terms at any time. Material changes will be communicated via email or a notice on our Site at least 30 days before taking effect. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the modified Terms.

16. SMS Terms & Conditions

Lead Continuity LLC DBA Plenum AI Systems provides SMS text messaging services to users who have voluntarily opted in through our website forms or other approved communication channels.

After opting in, users may receive SMS messages including appointment confirmations, appointment reminders, service-related updates, responses to inquiries, and important account or support communications. Marketing or promotional messages are sent only if the user has opted in separately.

You can cancel the SMS service at any time. Just text "STOP" to the phone number from which you received the message. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up again as you did the first time and we will start sending SMS messages to you again.

Message and data rates may apply. Message frequency may vary.

Carriers are not liable for delayed or undelivered messages.
